A UAE group of companies operating in the media field, was seeking to enter the Kuwaiti market to provide the advertising services, which under the laws of the State of Kuwait, advertising services requires a validly issued advertising license. Our client, a Famous Group, agreed to grant the UAE group the right of utilization of an advertising licence owned by one of its subsidiaries operating in the media field.

In order to give effect to the parties’ strategic objectives, Al Markaz advised and acted on behalf of our client in relation to a number of complex agreements comprising of a joint venture agreement, loan agreement, pledge of shares agreement, a management of the company agreement, strategic alliance agreement, non-exclusive agency agreement and undertaking of indemnity agreement, and the establishment of a limited liability company in Kuwait.
