Mr. Mohammad Ramadan is a Senior Associate in the firm's Corporate Advisory Department. Prior to joining the firm in 2006, he developed his extensive legal expertise by working for a local leading family business group for several years. He has exceptional and unmatched expertise in company incorporation, merger and acquisitions, securities transactions, Islamic finance and due diligence. Mr. Ramadan emphasizes his practice in civil, corporate and commercial legal consultancy and procedures, and has extensive experience handling cases in a wide variety of areas, with a special emphasis on civil law, corporate law, international trade law, administrative law, securitization, intellectual property law and labor law. Mr. Ramadan holds over 23 years of PQE between Egypt and Kuwait.

Recent Legal Representation/Consultancy Matters:

  • Acted as Kuwaiti counsel for a major investment company in Kuwait in the debt restructuring and Settlement-In-Kind Transaction worth approximately KWD 300 million. This transaction took place across five jurisdictions and included (but is not limited to) advising on all aspects of the refinancing, the agreement on security packages relating to different classes of assets, debt-to-equity and debt-to-asset swap, all within the scope of the Kuwaiti Financial Stability Law (No. 2 of 2009), and was ranked by the International Financial Law Review as one of the most important top 100 deals in 2015.
  • Acted as Kuwaiti counsel in a renowned investment company’s second debt restructuring and settlement-in-kind deal worth approximately KWD 800 million. This entailed creating the debt restructuring plan that ensures inter alia structural and security enhancement, improved alignment of stakeholder's interests, and improved asset monetization prospects.
  • Negotiated and acted on behalf of a leading investment company in regards to their sale of 100% of a HORECA supplies and services specialist company.
  • Acted on behalf of a major consortium of real estate and construction companies in the settlement of the claims of approximately KWD 60 million with a bank at a favorable discount.
  • Advised a renowned investment company on restructuring its debt valued at over KWD 50 million.
  • Acted on behalf of renowned holding company in their settlement of claims with a bank valued at over KWD 35 million.
  • Acted as Kuwaiti counsel in a renowned Investment and Wealth Management Company’s debt restructuring of a value of KWD 70,000,000. This deal was awarded the ‘Restructuring Deal of the Year’ by the International Financial Law Review in 2017.
  • Advised an Omani government-owned energy services company, on the optimal corporate structure that is permissible under Kuwaiti law.
  • Advised a British recruitment and human resources company in relation to the liquidation of the subsidiary in Kuwait, including the available courses of action in the event that the Kuwaiti partner does not consent to the liquidation of the Kuwaiti subsidiary.
  • Advised and acted on behalf of a renowned UK Limited company in relation to the incorporation of a company under Law No. 116 of 2013 (Foreign Direct Investment Law). This included advising on the most optimal corporate structure, the pursuit of corporate activities and public tenders under the corporate structure in Kuwait, national labour requirement, telecommunications regulations and foreign direct investment laws.
  • Advised and acted on behalf of a leading global construction, manufacturing and technology consultancy, in relation to the incorporation of a company under Law No. 116 of 2013 (Foreign Direct Investment Law).
  • Advised and acted on behalf of a leading global provider of first-class drilling solutions and services, in relation to the incorporation of a company under Law No. 116 of 2013 (Foreign Direct Investment Law).
  • Advised a group of Japanese Power & Energy companies on the Kuwaiti law elements of their corporate restructuring following a Company Split under Japanese laws. This entails advising on the structuring process in Kuwait, and the associated regulatory compliances, required disclosures of material changes in corporate structure, and examining ongoing agreement that require any assignment following the completion of the corporate restructuring.
  • Advised a local renowned distributor of a Sweden and Paris based Perfume and Luxury goods on the termination for cause of the distribution agreements under Kuwaiti law. This included advising on the available courses of action, investigating whether the distribution agreements are registered with the Kuwaiti authorities, illegal distribution of goods through unauthorized channels, advising on the case strategy in the event of litigation brought by the Kuwaiti agent, and the compensation to which they may be entitled under Kuwaiti law.
  • Assisted in the incorporation of a local holding company, a subsidiary of a major investment company. The company was established in 2001 with a capital of KD 100 million (around USD 300 million). In 2006, the company's capital increased to KD 250 million (around USD 750 million).
  • Assisted in the incorporation of an asset management company in Kuwait, as a subsidiary of an Islamic investment company founded in April 2004 as a Kuwaiti shareholding company (K.S.C) with a capital of KD 50 million (around USD 150 million).
  • Assisted in the incorporation of a real estate company as a subsidiary of a major investment company with a capital of KD 1 million (USD 3 million) which was subsequently increased to KD 35 million (USD 105 million).
  • Assisted in the incorporation of a holding company as a subsidiary of a major investment company with a capital of KD 20 million (USD 60 million) which was later increased to KD 65 million (USD 195 million).
  • Assisted in the incorporation of a real estate company as an associate of a major investment company with a capital of KWD 1 million, which was later increased to KWD 250 million through private placements. The incorporated company is currently developing a World Island Project in the region.
  • Assisted in the incorporation of a major investment group – a Kuwaiti closed joint-stock company with a paid up capital of KWD 36 million, which was later increased to KWD 113 million at different phases.
  • Assisted in the incorporation of an investment company regulated by the Kuwait Capital Markets Authority and the Central Bank of Kuwait. The company provides investment and asset management, real estate investment consultancy and corporate finance advice.
