Mr. Ayman Nada is a Partner and Head of Al Markaz Corporate Advisory Department. Prior to joining the firm in 2008, he developed his extensive legal expertise by working in a globally leading EPC company and a state-owned natural gas company in Egypt, gaining a wealth of experience in the legal and financial practice that surrounds the respective fields. Mr. Nada has been involved in numerous cross-border transactions, and focuses his practice in corporate and commercial law, construction law, mergers & acquisitions, Islamic finance, debt restructuring, oil and gas law, portfolios, joint ventures, project finance, securitization and Kuwait Stock Exchange (K.S.E).

Recent Representative Legal Matter:

  • Assisted in a major real estate development projects involving the construction, development, building, marketing and sale of residential units, villas, houses, apartments, golf course, country club and social facilities. The projects was one of the most unique and multi-faceted project on a global scale with a value exceeding QR 2 billion raised by the client, by way of unlisted private placement offering to local and international investors.
  • Assisted in a leading real estate development project involving project finance through unlisted private placement offering and acquisitions, which entailed the development, management, marketing and sale of multipurpose land plots in its third phase of development. The project, valued at over KWD 500 million, was highly successful and an international highlight.
  • Assisted in the development of a well-established real estate development project in the region valued at KWD 51 million, by advising on matters in connection with project finance, construction, development, management, marketing and sale of land located in Al Khour City in the State of Qatar, with a broad coastal view of 57km north of Qatar's capital city, Doha.
  • Assisted in a recent public private partnership ("PPP") venture in the State of Kuwait for the development of labor city, with the aim of enhancing residential services for low income workers.
  • Acted on behalf of a leading a leading Kuwaiti holding company in the acquisition of a 60% stake in a holding's generic pharmaceutical portfolio in Egypt with a value of K.D 25 million, which is regarded as one of the most major acquisition transactions in the region.
  • Acted on behalf of well-known Kuwaiti investment company in the high profile acquisition case consisting of the acquisition of not less than 53.3% stake in a renowned oil technology company in Kuwait with a value exceeding 5 million.
  • Acted on behalf of a leading media company in the settlement of its dispute against the Ministry of Media in relation to the implementation of KWD 2.5 million projects, whereby the dispute was successfully resolved amicably.
  • Acted on behalf of a Kuwaiti holding company in one of the most significant acquisition cases in the region, which involved the acquisition of not less than 45% in a Kuwaiti real estate assets management company with a value exceeding KWD3 million.
  • Mediated in a dispute between a major engineering company and one of its debtors in relation to a project valued at approximately KWD 700,000, whereby the dispute was successfully resolved amicably.
  • Acted as Kuwaiti counsel for The Investment Dar in the debt restructuring and Settlement-In-Kind Transaction. This transaction took place across five jurisdictions and included (but is not limited to) advising on all aspects of the refinancing, the agreement on security packages relating to different classes of assets, debt-to-equity and debt-to-asset swap, all within the scope of the Kuwaiti Financial Stability Law (No. 2 of 2009)
  • Advised a leading investment company regarding projects in the energy, waste water and infrastructure sector in the country, including the possibility and legality of establishing a joint venture with a highly respected international company to this effect, and reviewing of and advising on financing and corporate structures under Kuwaiti laws.
  • Advised one of the main investment companies in Kuwait on the legality and applicability of cross-border acquisition and ownership of real estate in a foreign jurisdiction. This entailed advising the client on all aspect of the transaction from the inception of the idea i.e. the due diligence, analyzing all legal risks associated with the transaction, creating and advising on the legal and financing aspect and structure.
  • Advised a major investment company on the acquisition of a 90% stake in Kuwaiti cultural project valued at approximately KWD 10 million. This entailed conducting due diligence, designing the strategic, operation and legal structure of the acquisition, advising the client on the applicable laws and regulations in relation to this transaction, analyzing and minimizing the potential risks and liabilities associated or resulting from the deal.
  • Acted as lead counsel in The Investment Dar?s second debt restructuring and settlement-in-kind deal worth over KWD800 million. This entailed creating the debt restructuring plan that ensures inter alia structural and security enhancement, improved alignment of stakeholders interests, and improved asset monetization prospects.
