Dr. Jamil Eladawi is an Senior Associate in the firm’s Corporate Advisory Department. Prior to joining the firm, he worked as an in-house legal counsel in a leading Kuwaiti Company in the Oil and Gas sector for several years.
Eladawi emphasizes his practice in Civil Law, Company Law, Capital Markets, Construction Law, Labor Law, Intellectual Property, Oil & Gas, and general corporate affairs. He gained his diversified experience by acting for national, international, and governmental entities on major transactions in the GCC and Egypt. He advises on corporate commercial matters including, but not limited to, cross-border transactions, project finance, and PPP projects, private equity, restructuring & bankruptcy, mergers & acquisitions, commercial & corporate law, international arbitration, major initial public offerings, mandatory tender offers, listing and de-listing, private placements, employment and disputes resolution matters. He holds over 15 years of PQE between Egypt and Kuwait.
In addition to his practical experience, he is the author of several legal books and articles published with reputable publishers in Egypt.

Representative Legal Matters:

  • Advised an Egyptian Cement Company on the sale of its white cement plant to a MENA Industries and Investments Company.
  • Advised an Egyptian Hospital Group on various acquisitions of local hospitals.
  • Advised an Egyptian Capital company on the acquisition of an Egyptian Media Group.
  • Advised MENA Bags manufacturing company on the sale of 96% of its shares to a European Industrial company.
  • Advised various international companies, including Novartis, ExxonMobil, Mercedes Benz, Equant Orange, Dana Petroleum, VFS Global, Valeo, Heinz, Univation, Nilesat, Sandoz, Nielsen and Castle Brook on various general commercial, corporate law issues.
  • Advised on the purchase by the Acquirer of the shares of the Selling Shareholders representing 60% of shares of an Egyptian Educational company.
  • Advised an Egyptian Solar Energy company (Developer) in the second round of the Feed-in Tariff Program by which the developer developed three solar power plants located in Benban-Egypt for a total capacity of 130 Megawatt.
  • Acted for an Egyptian construction company in 33.643.060€ worth breach of a service contract with a German company referred to arbitration under CRCICA rules.
  • Advised a Kuwaiti shareholding company, on an existing dispute with a Chinese International Trading & Contracting Co, in one of the Kuwaiti Boubyan projects, with a value of 50,000,000 Kuwaiti Dinars.
  • Acted and advised a regional logistics company on a dispute with their employees in relation to wages and overtime pay in accordance with Kuwait Labor law.
  • Advised a major investment company on the acquisition of a 90% stake in Kuwaiti cultural project valued at approximately KWD 10 million. This entailed conducting due diligence, designing the strategic, operation and legal structure of the acquisition, advising the client on the applicable laws and regulations in relation to this transaction, analyzing and minimizing the potential risks and liabilities associated or resulting from the deal.
  • Advised a leading investment company on the construction of Heritage Village, from the due diligence all the way to the execution of the construction agreements.
  • Advised a leading investment company on the acquisition of the majority stake in a renowned car rental company.
  • Advised on and drafted of the human resources policy of a major domestic holding company.
  • Advised on an ongoing project between one of the main Kuwaiti banks and an UK financial institution.
  • Advised a number of local and international companies on doing business in the Kuwaiti market through establishing companies and agencies.
  • Advised a regional oil and gas services company on the incorporation of a legal entity in Kuwait, through which they may directly participate in local tenders. The first phase of this advisory work includes advising on the possible corporate structure, KOC and Central Tenders Committee qualification requirements, licenses and approvals, and the means of hiring labour for upcoming projects.
